Agreement & Parties

This agreement (“Service Agreement”) is entered into between:

  • Service Provider: Manulas Pest Control & Fumigations (Pvt) Ltd., ISO 9001:2015
  • Customer: [Name, address, contact info], collectively referred to as the “Parties.”

By signing this Agreement or accepting services/products, the Customer agrees to these Terms & Conditions.

 

Scope of Services

Manulas agrees to provide pest control and fumigation services (interior/exterior) as specified in the service proposal, including targeted pests, frequency, and methods.

Term & Renewal

  • Initial Term: Begins on [start date] for [e.g. one year]/[one-time service].
  • Renewal: Automatically renews for successive [quarter/year] terms unless either party gives at least 30 days’

Payment Terms

  • Fees: As outlined in the service proposal.
  • Payment Due: Upon service completion or per schedule (e.g., monthly, quarterly), via cash, bank transfer, or credit/debit card.
  • Late Payments: May incur interest or suspension of services.

Customer Responsibilities

  • Provide access at agreed times.
  • Follow technician recommendations
  • Notify missing appointments at least 24 hours in advance; otherwise normal charges apply.

Standards of Service

  • Services performed by fully trained, licensed staff.
  • Standard, additional or corrective treatments done under the agreement come at no extra cost
  • Treatment scope excludes pests or areas outside the agreement without written addendum.

Guarantee & Retreatments

If pests persist between scheduled visits in covered areas, Manulas will retreat at no additional charge, subject to Customer obligations being fulfilled

Health & Safety

  • Technicians use appropriate PPE and follow safety standards.
  • Customers should vacate the treated areas as directed.
  • Be aware that pesticide residues or odors may persist briefly after treatment.

Limitation of Liability

  • Company is not liable for pre-existing structural damage, indirect
  • Customer must report damage in writing within 7 days.
  • Total liability is limited to the fees paid in the prior 12 months.

Termination

  • Early Termination: Allowed by mutual written agreement or by Manulas if Customer materially breaches terms (e.g., late payment).
  • Customer Termination: Requires 30 days’ prior written notice after the Initial Term.
  • Termination fees may apply proportional to the remaining term if cancelled early

Force Majeure

Neither party is liable for failure to perform due to events beyond their control (e.g., natural disasters, strikes, governmental actions) .

Dispute Resolution

  • Parties will first engage in informal resolution.
  • If unresolved, disputes will be settled via binding arbitration under Sri Lankan rules or applicable jurisdiction (e.g., Colombo) .
  • Arbitration decision will be final, subject to local arbitration laws.

Governing Law

This Agreement is governed by the laws of Sri Lanka. Any invalid provision shall not affect the validity of the remaining terms

Confidentiality & Personal Data

  • Both parties agree to keep confidential all non-public business or personal data.
  • Manulas collects/processes personal data in compliance with applicable privacy regulations (see Privacy Policy).

Entire Agreement

This document, along with the signed proposal and referenced documents, represents the complete agreement and supersedes all prior understandings.
